Seed money — about
€700,000 from seven investors, according to the investors’ analysis — paid to incorporate Malta Digital Exchange Holdings p.l.c. on 13 September 2018.
100% of its ordinary (voting) shares went to Digimarkets (Hong Kong) Ltd, whose sole shareholder is Klink. The Malta Stock Exchange held nothing. A new PPM in November 2018 replaced the 15%-of-revenue entitlement with a discretionary dividend spread across 500 million preference shares. An independent analysis for the investors put the cut to seed investors’ projected dividend income at
97%, while Klink’s entity’s rose 277%.
Exhibit D [11] Klink’s position: investors were “not diluted in any way”.
When one investor pressed for answers (23 Feb 2019), Rob Dey phoned him within hours and threatened to “bury” him — see
the threat logs. Three weeks later Digimarkets offered to repay his €100,000 plus €20,000 — on condition he sign that he had “no further claims, rights or obligations against the Company, any of its Directors and employees, and any other related entity”, with no payment date and no security.
Exhibit E The money was never repaid.
